By engaging with BiziBee's services, you acknowledge that you have read, understood, and agree to be bound by these terms. BiziBee provides comprehensive business consulting services specifically designed for Australian small businesses seeking to optimise their operations, implement automation, and develop robust business systems. Our service offerings are structured to accommodate various business needs and budgets, ranging from complimentary initial consultations through to ongoing monthly support arrangements.
When you engage with BiziBee, you enter into a professional services agreement based on the specific package or service you select. Each service is clearly defined at the time of booking, including scope, deliverables, timelines, and investment required. We pride ourselves on transparency and clarity in all our client relationships.
Initial consultation to assess your business needs and explore potential solutions
Comprehensive review of your current business systems and processes
Implementation of tools and workflows to streamline your operations
Ongoing operational assistance and strategic guidance
All payments are securely processed through Stripe, our trusted payment partner
Non-Refundable Policy: Unless explicitly stated otherwise in writing, all payments are non-refundable once services have commenced
Payment is required prior to commencement of paid consulting packages, systems audits, and automation setup services. For monthly operations support, payment is due at the beginning of each billing cycle as agreed in your service agreement.
BiziBee reserves the right to suspend or terminate services if payment is not received by the due date. Late payments may incur additional administrative fees as permitted under Australian law. All fees are quoted in Australian Dollars (AUD) unless otherwise specified.
In exceptional circumstances where services cannot be delivered as promised due to circumstances within BiziBee's control, refunds will be considered on a case-by-case basis in accordance with Australian Consumer Law.
Whilst BiziBee is committed to providing high-quality, professional consulting services based on industry best practices and extensive experience, it is essential to understand that business results cannot be guaranteed. The success of any business strategy, system implementation, or operational improvement depends on multiple factors including but not limited to: market conditions, client implementation, business resources, industry dynamics, competitive landscape, and economic circumstances.
All advice, recommendations, and strategies provided by BiziBee are educational in nature and intended to inform your business decision-making process. Our services are designed to provide you with insights, frameworks, and systems to support your business operations. However, the ultimate responsibility for implementing recommendations and making business decisions rests solely with you as the business owner.
BiziBee's consulting services do not constitute financial advice, legal advice, accounting advice, or any other form of professional advice requiring specific licensing under Australian law. You are strongly encouraged to seek independent professional advice from appropriately qualified advisers (such as accountants, solicitors, or financial planners) before making significant business decisions based on our recommendations.
You agree to provide BiziBee with complete, accurate, and timely information about your business operations, challenges, and objectives. The quality and relevance of our consulting advice depends significantly on the accuracy of the information you provide.
You acknowledge that you are solely responsible for all business decisions made during and after our engagement. BiziBee provides recommendations and guidance, but the decision to implement, modify, or reject any advice remains entirely yours.
Unless explicitly agreed otherwise in your service package, you are responsible for implementing recommended strategies, systems, and processes within your business. BiziBee can provide guidance and support, but execution remains your responsibility.
You agree to maintain professional and respectful communication with BiziBee staff and contractors. We reserve the right to terminate services if behaviour becomes abusive, threatening, or unreasonably demanding.
To the maximum extent permitted by Australian law, BiziBee, its directors, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or related to the use of our consulting services. This includes but is not limited to loss of profits, loss of revenue, loss of business opportunities, loss of data, or any other commercial or economic losses.
BiziBee is not responsible for business outcomes, financial results, or any losses incurred as a result of implementing or failing to implement our recommendations. You acknowledge that business consulting inherently involves risk and that outcomes depend on numerous factors beyond our control.
Our total aggregate liability to you for any claims arising from our services shall not exceed the total fees you have actually paid to BiziBee for the specific service giving rise to the claim.
All intellectual property created, developed, or provided by BiziBee during our engagement—including but not limited to standard operating procedures (SOPs), templates, frameworks, methodologies, documentation, reports, analysis, recommendations, and any other deliverables—remains the exclusive property of BiziBee until all fees for the relevant services have been paid in full.
Upon receipt of full payment for services, you are granted a limited, non-exclusive, non-transferable licence to use the deliverables provided specifically for your internal business operations. This licence does not permit you to resell, redistribute, sublicense, or otherwise commercially exploit any BiziBee intellectual property without express written permission.
Any pre-existing intellectual property, proprietary methodologies, or frameworks that BiziBee brings to the engagement remains BiziBee's exclusive property regardless of payment status. You acknowledge that BiziBee may use general knowledge, skills, experience, and ideas gained during our engagement with you in connection with other client work, provided this does not involve disclosure of your confidential information.
Materials specifically created for your business become your property upon full payment
Proprietary methodologies and systems remain BiziBee's intellectual property with usage rights granted
Software or platforms recommended remain subject to their respective licensing terms
BiziBee recognises the sensitive nature of business information shared during consulting engagements. We commit to maintaining the confidentiality of all proprietary business information, financial data, strategic plans, and other confidential materials you disclose to us during our engagement.
We will not disclose your confidential information to third parties without your express written consent, except where required by law or to our professional advisers bound by confidentiality obligations. All BiziBee staff and contractors are required to maintain strict confidentiality standards.
Confidential information does not include information that is publicly available, independently developed by BiziBee, or lawfully obtained from other sources without confidentiality restrictions.
This confidentiality obligation survives the termination of our engagement and continues indefinitely unless the information becomes publicly available through no fault of BiziBee.
You may terminate services with written notice. Fees for services already provided remain payable and are non-refundable
We may terminate services for non-payment, breach of terms, or if continuing the relationship becomes impractical
Upon termination, confidentiality obligations continue, outstanding fees become immediately due, and licensed materials must cease to be used if unpaid
For monthly support arrangements, either party may terminate the ongoing service relationship with 30 days' written notice. You remain responsible for payment of the current billing cycle. Upon termination, we will provide a reasonable transition period to ensure business continuity, though this does not extend beyond the current paid period.
If services are terminated by BiziBee due to client breach of these terms (such as non-payment or inappropriate conduct), no refunds will be provided and all outstanding amounts become immediately due and payable. In the event of termination, any intellectual property deliverables not yet fully paid for must be returned or destroyed, and your licence to use BiziBee materials is immediately revoked.
Termination does not affect any rights or obligations that accrued prior to the termination date, including payment obligations, confidentiality commitments, and intellectual property rights.
These Terms of Service constitute the entire agreement between you and BiziBee regarding our consulting services and supersede all prior discussions, representations, or agreements. Any modifications to these terms must be made in writing and signed by both parties. If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These terms are governed by the laws of Australia and the state or territory in which BiziBee operates. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Australia. Where our services are provided to consumers, nothing in these terms is intended to exclude, restrict, or modify rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or other applicable consumer protection legislation that cannot be excluded, restricted, or modified by agreement.
BiziBee reserves the right to update these terms periodically. Material changes will be communicated to active clients.
If any provision is found invalid, remaining terms continue to apply in full force.
Failure to enforce any term does not constitute waiver of that term or any other provision.
